COMPANY SECRETARY Job Profile The incumbent will act as Company Secretary & Secretary to the Board of Management (BoM). H/She will be responsible for managing and administering the BoM affairs in compliance with the relevant laws, regulations and corporate governance framework. As a company secretary s/he will also be responsible for communications with the shareholders, managing company payouts and custody of statutory books and records as per corporate laws of Pakistan. The job entails following Core Responsibilities: Facilitating the smooth organization of Board of Management (BoM) meetings Preparing and distributing agenda and papers for Board members and ensure that proceedings of all meetings are properly recorded. Ensuring that annual general meetings/share holder meetings are held in accordance with the requirements of the relevant laws/rules and the companies’ Articles of Association; Coordinating the publication and distribution of the company’s annual report & accounts and interim statement. Continually reviewing developments in corporate governance; facilitating and assisting the directors with respect to execution of their duties and responsibilities in compliance with corporate governance and statutory requirements Monitoring and laying in place procedures which facilitate to comply with relevant regulatory and legal requirements. Eligibility: Member of a recognized body of Professional Accountants or Business/Law Graduate or member of a recognized body of corporate/chartered secretaries. 10 years of progressive post qualification experience out of which at least 5 years experience of handling Corporate Affairs of a public listed company or corporation Be not more than 45 years of age.
